Last updated: October 8, 2026
Effective: September 29, 2026
For accounts created on or after September 29, 2026, these Terms apply from account creation. For accounts created before that date, these Terms apply from October 13, 2026; until then, the version dated August 15, 2026 continues to apply.
These Terms of Service (“Terms”) constitute a legally binding agreement between you and AirTA G.K. (AirTA合同会社), a limited liability company incorporated under the laws of Japan with its registered office in Matsudo-shi, Chiba, Japan (“AirTA,” “we,” “us,” or “our”) governing your access to and use of the AirTA platform at airta.jp (the “Platform”). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you use the Platform on behalf of an organization, you represent that you have the legal authority to bind that organization to these Terms. If you do not agree, you must not use the Platform.

“Scout Seat” means a paid monthly subscription under which an Agency User may use the Candidate Database, as described in Section 8.6.
“Fee Agreement” means a separate agreement, described in Section 8.7, under which a Company User pays AirTA a fee for hires made through Applications or the Candidate Database.
AirTA provides: (a) a business-to-business (B2B) recruitment marketplace in which hiring companies post job openings and receive structured Proposals from recruitment agencies; (b) a Job Portal on which Job Seekers and the public may view job openings, and through which Job Seekers may apply to certain of them; and (c) a Candidate Database in which Job Seekers may choose to be found by hiring companies and recruitment agencies.
Important: AirTA is not a recruitment company, employment placement business (職業紹介事業者), staffing agency, or labor broker as defined under the Employment Security Act (職業安定法), the Worker Dispatch Act (労働者派遣法), or any other applicable law. We do not:
Recruit, select, screen, recommend, interview, or place candidates
Edit, summarize, or rank a Job Seeker's Application or profile for any company or agency
Arrange interviews, or negotiate salary or other terms, on behalf of any party
Guarantee hiring outcomes, recruitment success, or that any Job Seeker will be hired
Participate in employment decisions, or in contract terms between companies, recruitment agencies, and Job Seekers
Create any employment, agency, joint venture, or partnership relationship between AirTA and any User
AirTA operates a job information provision business (募集情報等提供事業) under the Employment Security Act and has filed a notification as a specified job information provider (特定募集情報等提供事業者) pursuant to Article 43-2 of that Act, covering job information provided at the request of hiring companies, job information collected from the published materials of hiring companies, and information about Job Seekers provided at the request of Job Seekers. We comply with the accurate display obligations under Article 5-4 of that Act, and we handle Job Seekers' personal information in accordance with our Privacy Policy and our internal rules for the proper management of personal information (個人情報適正管理規程).
AirTA never charges Job Seekers. The Platform is free of charge for Job Seekers, and AirTA does not give Job Seekers money, gift cards, points, or any other benefit in return for registering, applying, reporting a hire, or referring others.
4.1 Company Users and Agency Users
To use the Platform as a Company User or an Agency User, you must:
Be at least 18 years of age
Be authorized to act on behalf of a legally established business entity
If you are a recruitment agency, hold a valid fee-charging employment placement business license (有料職業紹介事業許可) or such other licenses and registrations as are required under the Employment Security Act (職業安定法) for your business activities, maintain them throughout your use of the Platform, and promptly notify us if any such license is suspended, revoked, or expires
Not be prohibited from using the Platform under these Terms or applicable law
Both Company Users and Agency Users must provide their organization's corporate number (法人番号), and Agency Users must additionally provide their fee-charging employment placement business license number, as part of organization verification. We review this information against publicly available government registries, including the MHLW Employment Placement Services Information System (人材サービス総合サイト), and certain Platform features, including proposal submission, are unavailable until verification is complete. Verification is performed for Platform-integrity purposes only and does not constitute a guarantee, endorsement, or legal confirmation of any User's licensure, identity, or compliance with law; Users remain solely responsible for maintaining their own licenses and for conducting any counterparty diligence they consider appropriate.
4.2 Job Seekers
To use the Platform as a Job Seeker, you must be at least 18 years of age, use the Platform to look for employment for yourself, and hold no more than one Job Seeker account. A Job Seeker account may not be used on behalf of any organization, and a Company User or Agency User account may not be used as a Job Seeker account.
When you register for an account, you agree to:
Provide accurate, current, and complete information during registration and keep it updated
Verify your email address through our verification process
Maintain the confidentiality of your account credentials and not share them with others
Accept responsibility for all activities that occur under your account
Notify us immediately at support@airta.jp if you become aware of any unauthorized use of your account
Each Company User and Agency User account is associated with one team and one organization. A Job Seeker account is personal to the Job Seeker and is not associated with any team. You may not create multiple accounts for the same individual and user type. We reserve the right to suspend or terminate accounts that violate these Terms.
6.1 Company Users
Company Users represent hiring organizations. Company Users may create job postings, receive and evaluate proposals from Agency Users, manage testimonials, and participate in pulse checks and surveys. Team owners within a company team may invite additional members and manage team settings.
6.2 Agency Users
Agency Users represent recruitment agencies. Agency Users may browse published job postings, purchase credits, submit proposals, manage AirDrive template assets, and participate in testimonials, pulse checks, and surveys. Team owners within an agency team may invite additional members and manage team settings.
6.3 Role Restrictions
A User's type (company, agency, or Job Seeker) is selected at registration and determines the features available. A single account may not operate as more than one user type. Misrepresentation of user type constitutes a material breach of these Terms.
6.4 Job Seekers
Job Seekers may view job openings, save and follow job openings and companies, set job alerts, maintain a profile and résumé files, send Applications, and choose whether to be visible in the Candidate Database. A Job Seeker decides which profile fields are shown, which companies are blocked, and whether to respond to any Scout. Job Seekers are responsible for the accuracy of the information they provide and should not include in their profile or files any information that is not necessary for a job search (see Section 4.11 of our Privacy Policy).
7.1 Job Postings (Company Users)
Company Users may create job postings describing open positions, including job details, requirements, salary ranges, timelines, fee expectations, and candidate profiles. Company Users may choose whether to display their organization name publicly on each job posting. Job postings are visible to all registered Agency Users. Company Users are responsible for the accuracy and completeness of their job postings and must ensure they comply with all applicable employment and anti-discrimination laws. This includes the obligation to clearly indicate required working conditions under Article 5-3 of the Employment Security Act and its implementing regulations (including, since April 2024, the scope of potential changes to duties and work location) and the accurate display obligations under Article 5-4 of that Act. Company Users must promptly update or close a job posting when the position is filled, the recruitment is suspended or withdrawn, or any posted terms change.
7.2 Proposals (Agency Users)
Agency Users may submit proposals in response to published job postings. Proposals include the agency's sourcing approach, relevant experience, services offered, proposed terms and fees, and commitments. Once submitted, a proposal may be viewed by the Company User who posted the relevant job. Submitting a proposal requires the number of Credits stated on the job posting, typically one Credit (see Sections 7.14 and 8). Agency Users are responsible for the accuracy and truthfulness of all information in their proposals.
7.3 Counter-Offers
Company Users may issue counter-offers in response to proposals, proposing modified terms such as adjusted timelines or fees. Agency Users may accept or reject counter-offers. The counter-offer process is informational and does not constitute a binding contract between the parties.
7.4 Proposal Acceptance and Engagement Terms
When a Company User accepts a proposal, the acceptance constitutes a mutual commitment by both parties to negotiate, in good faith, a formal engagement agreement on the basis of the terms stated in the accepted proposal (including proposed fees, exclusivity timeline, search commitments, and any counter-offer terms agreed through the Platform). Acceptance through the Platform is not itself a binding recruitment or placement contract and does not obligate either party to conclude one; however, materially departing from the accepted proposal terms during contract negotiation without reasonable justification is inconsistent with good-faith use of the Platform. The Platform records the accepted proposal terms and the time of acceptance, and these records may be made available to the parties.
Proposals on the Platform contemplate an exclusive search engagement. Unless the parties agree otherwise, the exclusivity period stated in the accepted proposal begins upon execution of the parties' engagement agreement and means that the Company User will not engage other recruitment agencies for the position during that period. Exclusivity does not restrict the Company User's own direct recruiting activities (such as direct applicants or internal employee referrals) unless the parties expressly agree otherwise. By accepting a proposal, the Company User represents its genuine intention to honor these exclusivity terms; by submitting a proposal, the Agency User represents its genuine intention to perform the search on the proposed terms. Each party acknowledges that the other relies on these representations.
The formal engagement agreement is concluded directly between the Company User and the Agency User, outside the Platform. AirTA is not a party to, and bears no responsibility for, that agreement (see Section 14). Agency Users should not introduce candidates before an engagement agreement is executed; any introduction made before execution is at the Agency User's own risk, and AirTA bears no responsibility for fee or other disputes arising from pre-contract introductions.
If the parties do not conclude an engagement agreement within ten (10) business days of acceptance (or such other period as they agree), either party may notify the other and, where Platform functionality permits, record the engagement as not concluded. In that case, the associated Credit is handled in accordance with Section 8.3, and the job posting may be reopened. A pattern of accepted proposals that fail to result in engagement agreements, or of proposals or acceptances made without genuine intent, may be treated as a violation of Section 9 or Section 10.
7.5 AirDrive (Agency Users)
AirDrive enables Agency Users to save reusable components from their proposals, including sourcing approaches, experience records, team member profiles, and service descriptions. These templates are private to the Agency User's team and may be reused in future proposals. Usage statistics, including win rates, are tracked to help Agency Users optimize their approach.
7.6 Testimonials and Reviews
The Platform provides a bilateral testimonial system. Company Users may submit testimonials about Agency Users, and Agency Users may submit client testimonials about Company Users. Testimonials are subject to bilateral privacy controls: the submitting party determines what identifying information (organization name, team name) may be disclosed, and the receiving party determines what is actually displayed. Testimonials must be truthful and based on genuine experience. We reserve the right to remove testimonials that are fraudulent, misleading, or otherwise in violation of these Terms.
Testimonial submissions may include structured ratings (such as proposal adherence, placement success, and partnership quality). Ratings are aggregated at the organization and team level and displayed on the rated party's profile — including to visitors who are not logged in — together with the number of responses for each question, once a question has received a minimum of three responses. Aggregated ratings are computed automatically from all responses; to preserve their integrity, the rated party cannot edit, select, or opt out of aggregated rating display. Individual responses and the identity of individual raters are never disclosed in aggregated ratings.
If you believe a testimonial or rating concerning you is fraudulent, mistaken, or submitted in violation of these Terms, contact us at support@airta.jp. We will investigate appropriately and promptly and may remove or exclude submissions that violate these Terms.
7.7 Surveys and Market Intelligence
We may publish surveys on topics relevant to the recruitment industry. Participation is voluntary. Individual survey responses are never disclosed; results are displayed only in aggregate form and only when minimum response thresholds are met to prevent identification of individual respondents.
7.8 Pulse Checks
After a proposal is accepted, the Platform may facilitate pulse checks at key milestones (candidate deadlines, mid-search, and search completion). Pulse checks are designed to promote accountability and transparency between Company Users and Agency Users. Participation in pulse checks is expected as part of good-faith engagement on the Platform.
7.9 Referral Program
Users may refer other organizations to the Platform through unique referral codes or invitation links. Under the current program, when a referred organization that is new to the Platform completes registration and submits its first proposal, the referring organization receives one (1) Platform Credit, and, where the referral is made between recruitment agencies, the referred organization also receives one (1) Platform Credit. Rewards are not granted for referrals within the same team or organization. We reserve the right to modify, suspend, or terminate the referral program at any time; changes apply only to referrals completed after the change takes effect. Referral abuse, including self-referral or fraudulent referral activity, is prohibited and may result in forfeiture of rewards and account termination.
7.10 Contract Builder
The Platform provides contract templates to assist Company Users and Agency Users in documenting their engagement terms. These templates are provided for informational convenience only and do not constitute legal advice. Users are solely responsible for the terms of any agreements they enter into and should seek independent legal counsel as appropriate.
7.11 Blog and Informational Content
Our blog and informational content are provided for general informational purposes only. This content does not constitute professional, legal, financial, or recruitment advice. You should consult qualified professionals before making business decisions based on information from our Platform.
7.12 Company Directory
The Company Directory displays company information and job openings collected from publicly available official sources, principally the career pages operated by the companies themselves, together with corporate registry data (such as the gBizINFO database operated by the Japanese government). Directory information is provided as-is for business reference: we refresh it on a regular cycle and display the source and last-verified time for each opening, but we do not guarantee its accuracy, completeness, or currency, and the original posting always prevails. Inclusion of a company in the Company Directory does not mean that the company is a User of, affiliated with, or endorsed by AirTA, and pages for non-User companies are labeled accordingly. A company may claim its directory page or request correction or removal at any time by contacting support@airta.jp; we honor removal requests promptly.
7.13 Interests
Agency Users may register an Interest in an opening displayed in the Company Directory: a non-binding statement, made with one click, that the agency would like to work the role. An Interest states no terms and never includes candidate profiles or any candidate personal information. Registering an Interest is free and does not consume Credits. An Interest is visible only to the registering Agency User's team, to AirTA, and to the company concerned once that company joins the Platform or claims its directory page; an Interest is never visible to other Agency Users. Interests must be registered with the genuine intent described in Section 7.4; they expire automatically after a period displayed on the Platform and lapse when the underlying opening leaves its source. An Interest is an invitation to engage through the Platform; it creates no contractual relationship and no obligation on any company.
7.14 Market-Entry Engagements
7.14.1 Definition and Qualification. A “Market-Entry Job” is a job posting that AirTA has designated as a market-entry engagement following a qualification intake completed by the Company User, or following administrative review by AirTA. The designation is made solely by AirTA and cannot be selected or claimed by any User. Company Users pay no fees to AirTA in connection with a Market-Entry Job.
7.14.2 Pricing. Notwithstanding Section 8.3, acceptance of a proposal on a Market-Entry Job consumes five (5) Credits from the accepted Agency User's prepaid Credit balance, in place of the standard one (1) Credit. Submitting a proposal on a Market-Entry Job requires and reserves five (5) Credits at the time of submission; if the proposal is not accepted, the reserved Credits are returned in full in accordance with Section 8.3. The Market-Entry designation and its pricing apply once per company, to the first accepted engagement for that company; subsequent job postings by the same company are standard job postings requiring one (1) Credit.
7.14.3 Exclusivity and Consolidation. As with all job postings, one proposal may be accepted per Market-Entry Job, and acceptance closes the job posting to all other Agency Users. Where the Company User has disclosed an existing engagement with another recruitment agency on the same role, the Company User confirms at intake that, upon acceptance, the Agency User whose proposal is accepted becomes the sole mandate holder for that role.
7.14.4 Post-Acceptance Relationship. After a proposal on a Market-Entry Job is accepted, the Company User and the accepted Agency User may conduct subsequent searches and other business directly with each other, on or off the Platform. Nothing in these Terms restricts that continuing relationship or imposes any fee on it.
7.14.5 Mutual Non-Circumvention. The Platform is provided to Company Users free of charge because Agency Users pay only when a proposal is accepted. To preserve this model, the parties make the following mutual commitments: (a) an Agency User first introduced to a company or its mandate through the Platform shall conduct its engagement on that mandate through the Platform until a proposal is accepted; and (b) a Company User agrees, for twelve (12) months from the first introduction, not to engage off the Platform, for a role posted on the Platform, an agency first introduced to it through the Platform, prior to acceptance of a proposal. Both commitments are expressly subordinate to Section 7.14.4: once a proposal is accepted, the continuing relationship between the company and the accepted agency is unaffected.
7.14.6 Engagement and Fallthrough. Section 7.4 (Proposal Acceptance and Engagement Terms) applies to Market-Entry Jobs in full. If an accepted engagement on a Market-Entry Job is recorded as not concluded under Section 7.4, the five (5) consumed Credits are returned in accordance with Section 8.3, and the Market-Entry designation continues to apply to the company's next accepted engagement.
7.15 Agency Directory
The Agency Directory displays information about licensed recruitment agencies collected from publicly available official sources, principally the 人材サービス総合サイト operated by the Ministry of Health, Labour and Welfare — the public registry on which fee-charging recruitment agencies are required by law to publish their license details, placement results, and fee information — together with the agencies' own websites. Directory information is provided as-is for the business reference of Company Users: we refresh it on a regular cycle and display the source and as-of date for registry-derived information, but we do not guarantee its accuracy, completeness, or currency, and the original registry always prevails. Inclusion of an agency in the Agency Directory does not mean that the agency is a User of, affiliated with, or endorsed by AirTA, and pages for non-User agencies are labeled accordingly.
A recruitment agency may claim its directory page through the claim flow linked on the page. Claiming requires an Agency User account and verification through an email address on the agency's own domain (instant where the account's verified email is on that domain, or via a single-use confirmation code sent to an address on that domain). Once a page is claimed, the claiming agency may edit the self-reported fields of its page and is responsible for the accuracy of the information it adds, which constitutes Content under Section 11. Fields sourced from the public registry continue to display registry values with their as-of date. An agency may also request correction or removal of its page at any time through the claim flow or by contacting support@airta.jp; we honor such requests promptly.
Company Users may shortlist agencies in the Agency Directory and request proposals for a specific job posting from the agencies they select. Requests are sent only to the agencies the Company User selects, in the Company User's own selection order — the Platform does not score, rank, recommend, or otherwise select agencies. Each recipient agency sees only its own request and never the identity of other recipients. Where a selected agency is not yet a User, we may forward the request to the agency's publicly listed contact address as an invitation to join the Platform. A proposal request is an invitation to submit a proposal under Section 7.3 — it creates no contractual relationship and no obligation on any party.
7.16 Japan Expansion Partners Directory
The Japan Expansion Partners directory displays information about providers of Japan expansion services (currently employer of record and payroll providers), compiled by AirTA from the providers' own published materials and from publicly available official sources. Where a listing shows a registry check — such as a corporate number checked against the National Tax Agency corporate number system, or an employment license checked against the Ministry of Health, Labour and Welfare registry — the check confirms only that the stated fact appeared in the named official source on the stated date. A registry check is not an endorsement of the provider, an assessment of its services, or a statement about its legal or regulatory compliance. Directory information is provided as-is for the business reference of Company Users: we do not guarantee its accuracy, completeness, or currency, and the original source always prevails. Inclusion of a provider does not mean that the provider is a User of, affiliated with, or endorsed by AirTA.
Visitors may request an introduction to a listed provider, or ask AirTA to suggest suitable providers, through the request form on the directory. After the requester confirms a work email address, AirTA makes the introduction by email. Introductions are provided free of charge: AirTA receives no fee, commission, or other compensation from any provider in connection with an introduction, and the directory does not score, rank, or prioritize providers — listings are displayed alphabetically. An introduction is not a recommendation, and any engagement between a requester and a provider is concluded directly between them, on their own terms, without AirTA as a party.
A provider may request correction or removal of its listing at any time by contacting support@airta.jp; we honor such requests promptly.
7.17 Job Portal and Applications
The Job Portal displays job openings posted by Company Users and job openings collected from the public career pages operated by employers themselves (Section 7.12). How job openings are collected, how often they are refreshed, and how results are ordered is explained on the Platform's “How search works” page.
Certain job openings offer “Apply with AirTA.” This option is offered only where the employer has accepted a Fee Agreement with AirTA. When a Job Seeker applies, AirTA sends the employer the Job Seeker's name, email address, saved résumé text, profile summary and work history, the files the Job Seeker selects, and the answers to the employer's requirements, exactly as they stand, and only after the Job Seeker has consented to that specific Application. AirTA does not select, edit, summarize, or rank Applications and takes no part in the employer's decision. Once an Application has been sent, the employer holds its copy of the information as an independent business operator and is responsible for handling it lawfully. For all other job openings, the Platform links to the employer's own page, and the Job Seeker applies there.
Company Users may ask Job Seekers only questions relevant to the job. Questions concerning race, ethnicity, social status, birthplace, nationality, religion or beliefs, labor union membership, family circumstances or income, appearance, or any other matter unrelated to the requirements of the job are not permitted.
7.18 Candidate Database and Scouts
Visibility. A Job Seeker's profile is hidden unless the Job Seeker chooses to make it visible, either to Company Users only or to both Company Users and Agency Users. Until the Job Seeker responds to a Scout, a visible profile never shows the Job Seeker's name or email address and shows only the fields the Job Seeker has not hidden. Companies that the Job Seeker has blocked cannot see the profile.
Access. Company Users may search the Candidate Database once AirTA has verified their identity, and may send Scouts under an accepted Fee Agreement. Agency Users may use it with Scout Seats (Section 8.6). The number of Scouts that may be sent in a given period is limited as displayed on the Platform.
Scouts. A Scout is written by its sender and shown to the Job Seeker unchanged, as the sender's own statement. The sender is responsible for every fact it states in a Scout, including facts about the role that the attached job posting does not state. AirTA compares the stated facts with the preferences the Job Seeker has set solely to show the Job Seeker which of those preferences the Scout states, and delivers a Scout only if it states every preference the Job Seeker has marked as required. A Scout about no specific job is delivered only to a Job Seeker who has chosen to accept those. AirTA does not write, rate, or recommend Scouts.
Disclosure of identity. When a Job Seeker answers “Interested” to a Scout, that sender alone is shown the Job Seeker's name and, while a Scout the Job Seeker answered “Interested” continues, the Job Seeker's résumé text, current company, and past employers' names and job summaries, and may download the files the Job Seeker has chosen to share. The Job Seeker and the sender may then exchange messages. A Job Seeker may decline, close, or report a Scout at any time. A team whose Scout the Job Seeker has closed or reported may not send that Job Seeker another Scout.
Views. Where a Job Seeker turns this on, AirTA shows a company or agency that the Job Seeker's anonymous profile opened its page, and shows the Job Seeker the names of teams that opened the Job Seeker's profile, together with the date, as a matter of fact and never as a ranking or recommendation.
Use of candidate information. Company Users and Agency Users may use information obtained through the Candidate Database, Applications, and Scouts solely to consider and communicate with the Job Seeker concerned about employment. They must not copy such information into other databases or disclose it to others except to the extent necessary for that purpose, and must handle it in accordance with the Act on the Protection of Personal Information (個人情報保護法). Agency Users remain solely responsible for complying with the Employment Security Act in their placement activities.
7.19 Hire Reports and Check-Ins
Either party to an Application or a Scout may report a hire through the Platform. AirTA may ask the Job Seeker and the company or agency concerned to confirm the status of a reported hire, including on the reported start date and approximately 30 and 91 days after it, and may ask a Job Seeker who answered “Interested” to a Scout how the conversation progressed approximately 30 days later. Answering is voluntary for Job Seekers, and no reward of any kind is offered for answering. Check-in answers are shown to the sender and may be counted, in aggregate, into statistics about the sender displayed on the Platform.
7.20 Employer-Confirmed Listing Details
A company that has claimed its Company Directory page may confirm or add details of its job openings. By saving a detail, the company represents that it is accurate and current. Confirmed details are displayed with the company's name as their source. The company is responsible for its confirmed details and must correct or remove any detail that becomes inaccurate, which it may do through its claim at any time. AirTA may remove any confirmed detail that appears to be inaccurate or unlawful.
7.21 Promoted Placements
Company Users and Agency Users may purchase promoted placements, such as Promoted Employer slots in the Company Directory and Promoted Agency slots on the job board, for the periods and at the prices and under the refund rules shown at checkout and in our Commercial Disclosure (特定商取引法に基づく表記). Promoted placements are labeled as such wherever they appear. They do not affect the order of job openings or Candidate Database results, or any rating or statistic displayed on the Platform.
8.1 Nature of Credits
Credits are non-transferable, non-refundable units that grant Agency Users the right to access specific Platform services (currently, submitting proposals). Credits represent a license to use Platform functionality and are not stored-value instruments, currency, securities, or property of any kind. Credits have no cash value and may not be exchanged, sold, or transferred to any other party.
8.2 Purchasing Credits
Credits may be purchased through the Platform using the payment methods available at checkout. All payment processing is handled by Stripe, Inc. Prices are displayed in Japanese Yen (JPY) and are inclusive of Japanese consumption tax. We reserve the right to modify credit pricing at any time, with changes effective for future purchases only.
8.3 Credit Usage
The number of Credits stated on the job posting (one Credit for standard job postings; five Credits for Market-Entry Jobs per Section 7.14) is reserved when an Agency User submits a proposal and is consumed only if the proposal is accepted. The reserved Credits are returned to the Agency User's balance automatically if the proposal is rejected by the Company User (including automatic rejection when the Company User accepts another proposal for the same job posting) or if the Agency User withdraws the proposal before a decision. If an accepted proposal does not result in an engagement agreement and the engagement is recorded as not concluded under Section 7.4, the consumed Credits are returned automatically. While a proposal remains pending, the reserved Credits are unavailable for other proposals.
8.4 No Refunds
Purchased Credits are non-refundable except as required by the Act on Specified Commercial Transactions (特定商取引に関する法律) or other mandatory provisions of applicable law.
8.5 Credit Expiration
Credits do not expire while your account remains active and in good standing. Upon account termination, any remaining Credits are forfeited.
8.6 Scout Seats
Agency Users may subscribe to Scout Seats. Scout Seats are billed monthly in advance and renew automatically, and may be cancelled at any time through the billing portal. Cancellation takes effect at the end of the current billing period, after which no further charge is made. Each seat includes the number of Scouts per billing period stated on the Platform; a Scout to which the Job Seeker answers “Interested” is returned to the allowance. Unused allowance does not carry over to the next billing period. Each Scout Seat is assigned by a team owner to one named user, and only that user may use the Candidate Database under it; the Scouts included with the team’s seats are shared across the team. Prices are shown at checkout and in our Commercial Disclosure and include consumption tax.
8.7 Employer Fee Agreements
A Company User that uses Apply with AirTA or the Candidate Database under an accepted Fee Agreement shall pay AirTA the fee stated in that Fee Agreement for each hire it covers. The amount of the fee, when it becomes payable, and the method of cancellation are set out in the Fee Agreement, which AirTA sends to the Company User by email before it is accepted; these Terms impose no additional fee. No fee under a Fee Agreement applies to a hire made through a recruitment agency's placement. Nothing is ever charged to, or paid to, a Job Seeker.

11.1 Ownership
You retain ownership of all Content you submit to the Platform, including job postings, proposals, testimonials, AirDrive assets, and profile information.
11.2 License to AirTA
By submitting Content to the Platform, you grant AirTA a non-exclusive, worldwide, royalty-free license to use, store, display, and transmit that Content solely for the purpose of operating and providing the Platform services. This license continues for the duration of your account and a reasonable period thereafter for backup and archival purposes. For testimonials and survey responses, this license includes the right to display aggregated or anonymized data beyond the duration of your account.
11.3 Content Responsibility
You are solely responsible for all Content you submit. You represent and warrant that your Content: (a) is accurate and not misleading; (b) does not infringe any third party's intellectual property rights, privacy rights, or other legal rights; (c) does not violate any applicable law or regulation; and (d) does not contain viruses, malware, or other harmful code.
All intellectual property rights in the Platform, including its design, source code, algorithms, logos, trademarks, and documentation, are and remain the exclusive property of AirTA or its licensors and are protected by Japanese and international intellectual property laws. These Terms do not grant you any rights to use AirTA's trademarks, trade names, logos, or other brand features. You may not reproduce, distribute, modify, reverse engineer, or create derivative works from any part of the Platform without our prior written consent, except that aggregate datasets we publish under an open licence named on the page that offers them (such as the Japan Hiring Report data, under Creative Commons Attribution 4.0) may be used on that licence's terms.
Each User acknowledges that they may receive confidential business information through the Platform, including but not limited to: hiring plans, salary ranges, recruitment strategies, sourcing approaches, fee structures, organizational details, and non-public business information (“Confidential Information”).
Users agree to: (a) treat Confidential Information with at least the same degree of care they use for their own confidential information, and in no event less than reasonable care; (b) use Confidential Information solely for the purpose of evaluating and engaging in potential business relationships through the Platform; and (c) not disclose Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law. This obligation survives termination of your account.
You acknowledge and agree that:
AirTA is a technology platform only. We do not employ, contract, or supervise any recruitment consultants or hiring managers.
Any agreements, contracts, or business arrangements entered into between Company Users and Agency Users are solely between those parties. AirTA is not a party to and bears no responsibility for any such agreements.
We do not verify the accuracy or completeness of job postings, proposals, or user-submitted content, except to the extent explicitly stated (such as corporate number verification).
Company Directory, Agency Directory, and Japan Expansion Partners directory information is collected from publicly available sources and provided as-is (Sections 7.12, 7.15, and 7.16). Inclusion in any of these directories does not imply any relationship with AirTA, and the original source always prevails over our display of it. Companies, agencies, and providers may request correction or removal at support@airta.jp.
We do not guarantee any outcomes, including that a Company User will receive proposals, that an Agency User's proposal will be accepted, or that any recruitment engagement will result in a successful hire.
The Platform's calculators, contract templates, and informational tools are provided for convenience and do not constitute professional advice.
We do not verify the information Job Seekers provide and do not guarantee that any Job Seeker is suitable for, or will accept, any position. Any employment contract is concluded solely between the employer and the Job Seeker.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION OBTAINED THROUGH THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY JAPANESE LAW:
AIRTA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE THEORY OF LIABILITY.
AIRTA'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU HAVE PAID TO AIRTA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED THOUSAND JAPANESE YEN (¥100,000).
THESE LIMITATIONS APPLY REGARDLESS OF WHETHER AIRTA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, WILLFUL MISCONDUCT (故意), OR GROSS NEGLIGENCE (重過失), OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER MANDATORY PROVISIONS OF JAPANESE LAW.
You agree to defend, indemnify, and hold harmless AirTA and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of or conduct on the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your Content; (e) any dispute between you and another User; or (f) any engagement agreement or other arrangement between you and another User, your recruitment or hiring activities, or your handling of candidate personal information, whether received through the Platform or obtained elsewhere. We will provide you with prompt notice of any such claim and reasonable cooperation in its defense, at your expense.
You represent and warrant that you, your officers, directors, substantial shareholders, and affiliated persons are not and shall not become:
Members of an organized crime group (暴力団, bōryokudan)
Associate members of an organized crime group (暴力団準構成員)
Persons affiliated with an organized crime group within the past five years
Corporate extortionists (総会屋, sōkaiya)
Social movement racketeers (社会運動等標ぼうゴロ) or persons engaging in criminal activity under the guise of social or political movements
Any other persons equivalent to the above (collectively, “Anti-Social Forces”)
You further represent that you will not engage in or facilitate threatening behavior, fraudulent demands, obstruction of business, or any other activity involving Anti-Social Forces. If any of these representations are found to be false, we may immediately terminate your account without notice or liability, and you shall bear all resulting damages.
19.1 Term
These Terms remain in effect from the date you create your account until your account is terminated by either party.
19.2 Termination by You
You may request deletion of your account at any time from Settings → Account or by contacting us at support@airta.jp. Upon request, your account is deactivated immediately and a 30-day grace period begins, during which you may cancel the request by signing in or via the link in the confirmation email. A deletion request cannot be submitted while your team has active engagements, pending proposals, or published job postings, or while you are the sole owner of a team with other members; you must resolve these items first. After the grace period, your personal information is permanently anonymized, and certain records are retained as described in our Privacy Policy's data retention schedule. A Job Seeker may request deletion of their account at any time, including while Applications or Scouts remain open; what the other party retains after deletion is described in Section 10 of our Privacy Policy.
19.3 Termination by AirTA
We may suspend or terminate your account immediately and without prior notice if: (a) you breach any material provision of these Terms; (b) you engage in prohibited conduct as described in Section 10; (c) your representations regarding Anti-Social Forces are found to be false; (d) we are required to do so by law; or (e) we reasonably determine that your account poses a risk to the security, integrity, or operation of the Platform or other Users.
19.4 Effects of Termination
Upon termination: (a) your right to access and use the Platform ceases immediately; (b) any remaining Credits are forfeited without refund; (c) your Content will be retained in accordance with our Privacy Policy's data retention schedule and then deleted; (d) the following provisions survive termination: Sections 7.4 (Proposal Acceptance and Engagement Terms), 7.18 (Use of candidate information), 8.7 (Employer Fee Agreements), 10 (Prohibited Conduct, including the non-circumvention obligation), 11 (Content), 12 (IP), 13 (Confidentiality), 14 (Platform Role and Disclaimers), 15 (Warranties), 16 (Liability), 17 (Indemnification), 18 (Anti-Social Forces), 22 (Governing Law), and this Section 19.4.
These Terms constitute standard terms of contract (定型約款) under the Civil Code of Japan. Pursuant to Article 548-4 of the Civil Code, we may modify these Terms without individual agreement from each User where the modification conforms to the general interest of Users, or where it does not contradict the purpose of the contract and is reasonable in light of the necessity of the modification, the appropriateness of the modified terms, and other relevant circumstances. When we make material changes, we will: (a) update the “Last updated” date; (b) notify registered Users via email at least 14 days before the changes take effect; and (c) post a prominent notice on the Platform. A modified version applies to accounts created after its publication from the time of registration. If you do not agree to the modified Terms, you must discontinue use of the Platform and terminate your account before the effective date. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If modifications materially diminish your rights or materially increase your obligations, you may terminate your account without penalty within 30 days of notification.
Neither party shall be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure is caused by events beyond the party's reasonable control, including natural disasters, epidemics, war, terrorism, government actions, power failures, telecommunications failures, cyberattacks, or other force majeure events. The affected party shall promptly notify the other party and use reasonable efforts to mitigate the impact.
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.
In the event of any dispute arising from or related to these Terms or the use of the Platform, the parties shall first attempt to resolve the dispute in good faith through direct negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to mediation administered by the Japan Commercial Arbitration Association (JCAA).
If mediation fails to resolve the dispute, the Tokyo District Court (東京地方裁判所) shall have exclusive jurisdiction of first instance (専属的合意管轄) over any legal proceedings.
23.1 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
23.2 Entire Agreement
These Terms, together with our Privacy Policy and any supplemental terms or policies referenced herein, constitute the entire agreement between you and AirTA regarding the use of the Platform and supersede all prior agreements, understandings, or representations.
23.3 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, upon notice to you.
23.4 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of AirTA.
23.5 Language
These Terms are available in English and Japanese. In the event of any inconsistency or conflict between the English and Japanese versions, the Japanese version shall prevail, as these Terms are governed by Japanese law.
